Terms of Service

The agreement between you and Knightsbridge Financial Ltd for your use of KXCO Nexus.

Please note: KXCO Nexus provides signing and document software. We are not your lawyer and nothing here or in the Service is legal advice. You are responsible for ensuring that an electronic signature, and the document you sign or send, is valid and appropriate for your particular purpose and jurisdiction.

1. Agreement to these terms

These Terms of Service (the "Terms") are a binding agreement between you (and any organisation you represent) and Knightsbridge Financial Ltd ("we", "us", "our"), which operates the KXCO Nexus electronic-signature and data-room platform at sign.kxco.ai (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Acceptable Use Policy, which is incorporated into and forms part of these Terms. If you do not agree, do not use the Service.

2. The service

The Service lets you upload documents, add electronic signatures, send documents to others for signature, and share documents through view-only data rooms. Signatures are cryptographically sealed and, where enabled, anchored to a blockchain to support later verification. Features, limits, and plans may change over time.

4. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which sets out prohibited content and conduct (including malware, unlawful, infringing, or explicit content, and signature/attestation fraud) and our enforcement rights. A breach of the Acceptable Use Policy is a breach of these Terms.

5. Electronic signatures & records

You consent to transact electronically and to the use of electronic signatures and records through the Service. You are responsible for determining whether an electronic signature is legally valid and appropriate for your document, parties, and jurisdiction. Certain documents (for example, some wills, deeds, or instruments requiring notarisation) may not be validly executed electronically in some jurisdictions. We do not warrant that any particular signature or document will be legally effective or admissible.

6. Your content

You retain all ownership of the documents and other content you upload ("Your Content"). You grant us a worldwide, non-exclusive licence to host, store, process, copy, transmit, and display Your Content solely to operate and provide the Service to you. You represent and warrant that you have all rights necessary to upload and use Your Content through the Service and that it does not breach the Acceptable Use Policy. We may remove or disable access to content, or suspend accounts, in accordance with the Acceptable Use Policy.

7. Data protection

We process personal data in accordance with applicable data-protection law, including the UK GDPR and the Data Protection Act 2018. We act as a processor of the personal data contained in Your Content (you are the controller) and as a controller of your account data. 8. Fees & plans

The Service offers free and paid plans. Paid plan fees, usage limits, and features are as described at the time of purchase and may change on reasonable notice. Except where required by law, fees are non-refundable. You are responsible for any taxes other than our income taxes.

9. Payments & settlements

Where the Service lets you issue invoices or requests for payment and accept payment for them (the "Settlements" feature), the following applies:

We do not hold your money. KXCO Nexus and Knightsbridge Financial Ltd are a software provider — not a bank, payment institution, e-money issuer, or money transmitter. We never take custody of, hold, escrow, net, or control payer or merchant funds at any time.

10. Availability & changes to the service

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, perform maintenance, or impose limits, and will use reasonable efforts to give notice of material changes that adversely affect you.

11. Intellectual property

The Service, including its software, design, and trademarks, is owned by us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. You may not copy, modify, reverse engineer, resell, or sublicense the Service except as permitted by law.

12. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not provide legal advice and do not warrant the legal validity, enforceability, or admissibility of any document or signature.

13. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the fees you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) £100. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

14. Indemnity

You will indemnify and hold us harmless from any claims, losses, liabilities, and reasonable expenses (including legal fees) arising out of Your Content, your use of the Service, or your breach of these Terms or the Acceptable Use Policy.

15. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, for breach of these Terms or the Acceptable Use Policy, to comply with law, or to protect the Service or others. On termination, your right to use the Service ends; provisions that by their nature should survive (including content ownership, disclaimers, liability limits, and indemnity) will survive.

16. Changes to these terms

We may update these Terms from time to time by posting the revised version. Material changes take effect when posted or on the stated effective date. Your continued use of the Service after a change constitutes acceptance of the revised Terms.

17. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
